CommScope sells Connectivity and Cable  business to Amphenol for $10.5 bn

CommScope announced its deal to sell its Connectivity and Cable Solutions (CCS) business to Amphenol for approximately $10.5 billion in cash.

The deal, expected to close in the first half of 2026, is subject to regulatory approvals and shareholder consent.

CommScope anticipates net proceeds of around $10 billion after taxes and expenses. The company plans to use the funds to repay debt, redeem preferred equity held by Carlyle, and return excess cash to shareholders through a dividend within 60 to 90 days post-closing.

The strategic move enables CommScope to focus on its ANS and RUCKUS businesses, aiming to drive innovation in next-generation network connectivity while enhancing shareholder value, Chuck Treadway, CEO, CommScope, said.

CommScope sees a strong future for its ANS and RUCKUS businesses, which delivered $300 million in adjusted EBITDA on $1.7 billion in trailing twelve-month sales. Following the Q1 divestiture of the DAS business, the NICS segment has been renamed RUCKUS.

CommScope reported strong second quarter results for 2025, with net sales rising 31.7 percent year-over-year to $1.39 billion, driven by growth across all segments except in the Caribbean, Latin America, and Canada.

Adjusted EBITDA of CommScope surged 79 percent to $338 million, representing 24.3 percent of revenue, a 640 basis point improvement over the prior year.

CommScope raised its full-year 2025 adjusted EBITDA guidance to between $1.15 billion and $1.20 billion.
